Terms and Conditions

Effective from: April 2026

Please read the following terms and conditions and cancellation policy carefully before returning your confirmation form to us.

 

DEFINITIONS

Key Stage Education, or KSE:

refers to Key Stage Education Ltd, a company registered in England and Wales.

 

The Client:

refers to the educational establishment, person, firm, company or other body with whom or with which Key Stage Education contracts subject to these conditions.

 

Contract:

refers to the Contract made or to be made between Key Stage Education and the Client subject to these conditions.

 

Presentation:

shall mean any performance, show, workshop or other services to be supplied by Key Stage Education to the Client under Contract.

 

1. CONDITIONS OF SERVICE APPLY

  1. Key Stage Education’s Conditions of Service shall apply to and govern any Contract between Key Stage Education and the Client to the exclusion of any condition contained on or in any order form, letter, receipt acknowledgement, or other document emanating from the Client. No variation of these Terms and Conditions shall be effective unless expressly agreed by Key Stage Education in writing.

  2. Key Stage Education’s agents are not authorised to make any representations concerning the Presentations unless confirmed by Key Stage Education in writing. In entering into the Contract, the Client acknowledges that it does not rely on any such representations which are not so confirmed.

 

2. DESCRIPTION

  1. It shall be the responsibility of the Client to immediately give Key Stage Education all information required to proceed with the Contract, and to ensure that the Presentation is sufficient and suitable for the purpose or purposes intended.

  2. Key Stage Education reserves the right to make, without notice to the Client, any reasonable improvement or alteration to the Presentation. Such improvements or alterations shall not affect the validity of the Contract.

  3. Key Stage Education will provide the Presentation as agreed in the Terms of the Booking Form and will not allow extra classes over the original number booked unless by prior written arrangement.

  4. Key Stage Education will provide the Presentation as agreed in the Terms of the Booking Form and will not allow extra students over the maximum number per session or show unless by prior written arrangement.

 

3. PRICE AND PAYMENT

  1. Any quotation or estimate provided by Key Stage Education, whether written or oral, shall be deemed to be an invitation to treat and not an offer. The placing of any order, whether written or oral, shall constitute an offer by the Client, and no Contract shall come into existence unless and until Key Stage Education shall have accepted the Client’s offer in writing by dispatching an acknowledgement of order.

  2. All quoted prices are exclusive of VAT where applicable. Any use of our online card payment portal may incur an additional transaction fee, levied at the point of sale.

  3. Payment of all sums due to Key Stage Education shall be made in full as agreed in the Client contract. Unless agreed in writing prior to the event, our payment terms are as follows:

  1. Where payment is raised by parental contribution, payment is expected by the end of the final performance. Payment may be made by cash, cheque, or bank transfer, and must be completed on the day of performance. A receipt or tax invoice can be provided on request.

  2. Where payment is made by the school from its own budget, standard business terms of 30 days apply. Please ensure a purchase order is raised with your accounts department in advance to ensure prompt payment.

  3. In all cases, please advise Key Stage Education of any vendor registration or purchase order requirements your school may have. Please ensure your finance team is familiar with these terms in advance of our visit.

  1. In the event of late payment, Key Stage Education reserves the right to charge interest at the rate of 8% per annum above the Bank of England base rate on any overdue amount from the day following the due date until receipt of cleared funds, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

 

4. NON-PERFORMANCE AND CANCELLATION

  1. In the event that the Client cancels or postpones the Presentation for any reason (excluding government-mandated periods of national mourning or other official cessation), there shall be no charge provided the cancellation or postponement takes place at least 8 working weeks before the planned date of Presentation. Within the 8-week period, the following charges shall apply:

  1. If the cancellation or postponement takes place less than 8 weeks but more than 4 weeks before the planned date, the Client shall be liable to pay 10% of the full service fee.

  2. If the cancellation or postponement takes place less than 4 weeks but more than 1 week before the planned date, the Client shall be liable to pay 60% of the full service fee.

  3. If the cancellation or postponement takes place 1 week or less before the planned date, or once the service has been performed or initiated, the Client shall be liable to pay 100% of the full service fee plus any unrecoverable expenses.

  1. In the event of cancellation by the Client, Key Stage Education may elect, entirely at its discretion, to waive any of the above cancellation provisions if an alternative date can be agreed. Key Stage Education is not bound to make this offer.

  2. Key Stage Education will aim to reschedule a Presentation if Key Stage Education is required to cancel or postpone for any reason within its control.

 

5. LIMITATION OF LIABILITY

  1. In no event shall Key Stage Education be liable for the following loss or damage, howsoever caused and even if foreseeable or in the contemplation of the parties:

  1. economic loss (including loss of profits, business revenue, goodwill, and collateral damage);

  2. administrative and overhead costs;

  3. special, indirect, or consequential loss or damage;

  4. any claim made against Key Stage Education by any third party.

  1. Key Stage Education’s entire liability shall in any event be limited to the value of the Contract.

  2. Each performer shall hold their own individual public liability and personal accident insurance. Where an accident to a performer or their equipment occurs due to structural failure or interference from a person other than a Key Stage Education employee, the Client will be held responsible.

  3. The Venue must hold valid public liability insurance.

  4. Safe performance areas will be outlined and directed by Key Stage Education and will be the responsibility of the Client to uphold throughout the Presentation.

 

6. CONSEQUENTIAL LOSS

Without prejudice to the generality of the foregoing provisions, Key Stage Education shall not in any event be liable to the Client in contract, tort, or otherwise for any indirect or consequential loss or damage whenever or howsoever arising.

 

7. RIGHT OF RESCISSION

Any Contract Key Stage Education holds with the Client shall be operational on an order-by-order basis. Nothing in these terms and conditions shall imply any continuous relationship between Key Stage Education and the Client.

 

Key Stage Education shall have the option (without prejudice to any of its other rights against the Client) by notice in writing to the Client to rescind any Contract in the following events:

  1. Should any sum owing by the Client to Key Stage Education be overdue, whether under the same or any other Contract; or

  2. Should the Client be in breach of any term of the same or any other Contract with Key Stage Education.

 

8. FORBEARANCE

No forbearance or indulgence shown or granted by Key Stage Education to a Client, whether in respect of these terms and conditions or otherwise, shall in any way affect or prejudice the rights of Key Stage Education against the Client, or be taken as a waiver of any of these standard conditions.

 

9. FORCE MAJEURE

Key Stage Education shall not be liable for failing to perform the Contract, whether wholly or in part, if the failure is caused wholly or partly by any circumstance or circumstances outside Key Stage Education’s reasonable control.

 

10. SEVERANCE

Key Stage Education and the Client agree that if any term of this Contract shall be adjudged by a Court of competent jurisdiction to be void or unenforceable, but would be valid and enforceable if some part or parts thereof were deleted or modified, then such provision shall apply with such modification or variation as shall be necessary to make it valid and effective.

 

11. HEADINGS

The numbers and headings in these conditions are for ease of reference only and do not form part of them for the purpose of construction.

 

12. ASSIGNMENT

Key Stage Education shall be entitled to assign, sub-contract, or sub-let this Contract or any part thereof. The Client shall not be entitled to assign this Contract without the prior written consent of Key Stage Education.

 

13. PROMOTIONAL MATERIAL

No drawings, descriptive matter, or other content issued by Key Stage Education, nor the descriptions and illustrations contained in Key Stage Education’s publicity material, professional material, or website, will form part of the Contract nor be regarded as a warranty or representation relating to the Presentation.

 

14. GOVERNING LAW

These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

15. MISCELLANEOUS

Key Stage Education does not permit video recording of any Presentation. Photographs may be taken only if agreed in advance by Key Stage Education or Key Stage Education’s authorised representative.
